Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between TrustVendor Inc. ("TrustVendor", "we", "us") and the individual or entity ("Customer", "you") that accesses or uses the TrustVendor platform, the Vendor Pulse API, or any related service (collectively, the "Services"). By clicking accept, executing an order form, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the Services

TrustVendor provides vendor risk intelligence, including: (a) the public Vendor Graph — a catalogue of vendor profiles built from publicly accessible sources; (b) the Trust Workspace — a subscription application for tenant-scoped vendor monitoring, assessments, and evidence management; and (c) the Vendor Pulse API — a programmatic interface offered to integrators and partners. The scope of Services available to you, associated fees, and any subscription limits are set out in your order form or subscription plan. We may modify or add features from time to time; material regressions to paid features will be announced at least 30 days in advance.

3. Accounts and eligibility

You must be at least 18 years old and legally able to enter into contracts to register an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify security@trustvendor.co immediately if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that pose a security risk to other users.

4. Fees, billing, and taxes

Paid Services are billed in advance on a monthly or annual cycle as set out in your order form. Fees are non-refundable except where required by law or expressly stated in your order form. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. Fees are exclusive of taxes; you are responsible for any applicable sales, use, VAT, GST, or withholding taxes. TrustVendor may adjust list pricing on 60 days notice for new subscription terms.

5. Acceptable use

You may not: (a) use the Services in violation of any law or third-party right; (b) attempt to reverse-engineer, decompile, or extract the source code of any TrustVendor component except as permitted by law; (c) probe, scan, or test the vulnerability of the Services without prior written permission; (d) use the Services to build or improve a competing product; (e) exceed documented rate limits, remove or obscure attribution required by us, or misrepresent the source or accuracy of data obtained through the Services; or (f) use the Services to send unsolicited communications or infringe others' rights. Violations may result in immediate suspension.

6. Vendor Pulse API — additional terms

Access to the Vendor Pulse API requires a valid API key issued to your account. You must keep API keys confidential and rotate them if compromised. You may not resell, sublicense, or transfer API access without a written agreement. Rate limits, uptime targets, and support commitments for the Vendor Pulse API are set out in the applicable order form or online at trustvendor.co/pricing. TrustVendor logs API request metadata for security, billing, and abuse-prevention purposes.

7. Customer data

You retain all rights in the data you upload or generate through the Trust Workspace ("Customer Data"). You grant TrustVendor a limited, non-exclusive, worldwide license to process Customer Data solely as necessary to provide the Services and comply with your instructions. TrustVendor will not access, use, or disclose Customer Data except as permitted by these Terms, the Data Processing Agreement, or with your instruction. You represent that you have all rights necessary to submit Customer Data and that it does not infringe or violate any third-party right.

8. Public Vendor Graph and third-party information

The public Vendor Graph is assembled from publicly accessible sources and represents TrustVendor's good-faith analysis. It is provided for informational purposes only. TrustVendor does not warrant that the graph is complete, current, or free of errors. Vendors listed in the graph may request corrections through the process published at trustvendor.co/bot. We reserve the right to update, restructure, or remove graph entries at our discretion, subject to any commitments in your order form.

9. Intellectual property

The Services, including all software, documentation, models, prompts, scoring formulas, and the Vendor Graph, are owned by TrustVendor or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms and payment of applicable fees, TrustVendor grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription term. No rights are granted by implication.

10. Feedback

If you provide feedback or suggestions about the Services, you grant TrustVendor a perpetual, irrevocable, royalty-free license to use them without restriction. TrustVendor is not obligated to implement any feedback.

11. Confidentiality

Each party may access non-public information of the other during performance of these Terms ("Confidential Information"). The receiving party will protect Confidential Information with the same care it uses for its own confidential information (and not less than a reasonable standard of care), will use it only to perform under these Terms, and will not disclose it except to personnel and advisors with a need to know. Confidential Information does not include information that is public through no fault of the receiving party, independently developed, or received from a third party without a duty of confidentiality.

12. Warranties and disclaimers

TrustVendor warrants that the Services will materially conform to their published documentation during your paid subscription. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRUSTVENDOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY DEFECT WILL BE CORRECTED. VENDOR SCORES AND CLAIMS ARE ANALYTICAL OUTPUTS AND ARE NOT A SUBSTITUTE FOR YOUR OWN DUE DILIGENCE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUSTVENDOR AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TRUSTVENDOR'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO TRUSTVENDOR IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY TO ALL CLAIMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

14. Indemnification

You will defend, indemnify, and hold TrustVendor harmless from third-party claims arising out of: (a) your violation of these Terms; (b) Customer Data you submit; (c) your use of the Services in breach of applicable law; or (d) any dispute between you and a vendor listed in the Vendor Graph. TrustVendor will defend, indemnify, and hold you harmless from third-party claims that the Services, as provided by us and used in accordance with these Terms, infringe a valid U.S. patent, copyright, or trademark. Indemnification is conditional on prompt written notice, sole control of the defense, and reasonable cooperation.

15. Term and termination

These Terms remain in effect while you have an active subscription or access the Services. Either party may terminate a subscription for convenience at the end of the then-current subscription term by providing notice at least 30 days before renewal. Either party may terminate immediately for material breach not cured within 30 days of written notice. On termination, your access to paid Services ceases; TrustVendor will make Customer Data available for export for 30 days and thereafter delete or de-identify it, subject to legal hold and backup retention cycles.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction and venue there. Each party waives any right to a jury trial. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to account holders by email or in-product notice at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, your remedy is to terminate as described in Section 15.

18. Miscellaneous

These Terms, together with any order form, the Data Processing Agreement, and other referenced documents, constitute the entire agreement between you and TrustVendor regarding the Services and supersede prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Neither party may assign these Terms without the other's consent, except that TrustVendor may assign in connection with a merger, acquisition, or sale of substantially all its assets. Notices under these Terms must be in writing and delivered to legal@trustvendor.co.
